Terms of Service

Effective April 19, 2026

These Terms of Service ("Terms") govern your access to and use of the website and services operated by Northern Peak Health and Wellness LLC ("Northern Peak," "we," "us") at northpeakrx.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who we are; what the Service is not

Northern Peak is a provider-first routing service. We connect licensed medical professionals to a vetted 503A compounding pharmacy partner that can legally serve their state. We maintain a state-by-state licensure index, a categorical formulary reference, and a gated intake that routes qualified onboarding requests to our pharmacy partner.

Northern Peak is not a pharmacy. We do not compound, dispense, or ship medications. We do not hold title to inventory. We do not set prices on compounded preparations; prices reflected on the gated formulary are those of our current pharmacy partner and are subject to change.

The Service does not provide medical, clinical, diagnostic, dosing, or treatment advice, and is not a substitute for consultation with or the professional judgment of a licensed healthcare provider, pharmacist, or other medical professional. All information made available through the Service is intended as a licensure and logistics reference for licensed medical professionals. Clinical decisions remain solely with the prescribing provider. Nothing on the Service establishes a provider-patient relationship.

2. Eligibility

You must be at least eighteen years of age and a licensed medical professional in the United States (or authorized staff acting under the direction of such a professional) to use gated portions of the Service, including the formulary unlock flow, the onboarding flow, and the contact form. Publicly accessible coverage pages are intended as a professional reference and are not a substitute for professional judgment.

3. Account-free use and submissions

We do not require you to create an account to use the Service. When you submit information through any form, you represent that the information you provide is accurate and that you are authorized to submit it. You grant Northern Peak a limited, worldwide, royalty-free license to process and store the information you submit as necessary to provide the Service and meet legal obligations.

4. Prohibited uses

You agree not to:

  • Use the Service for any purpose that is unlawful, harmful, or outside the scope of your professional license.
  • Submit false, misleading, or stolen identity information, including another person's NPI.
  • Distribute the gated formulary, pricing, or any materials marked confidential to any third party outside your practice, or to any patient or consumer.
  • Scrape, harvest, or systematically extract data from the Service, or use automated means to bypass our gated flows.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of any portion of the Service.
  • Interfere with or disrupt the Service, its servers, or its networks.
  • Use the Service to transmit malware, spam, or any content that violates applicable law.

5. Confidentiality of gated materials

The formulary, pricing, and related materials accessible through the gated unlock flow are the confidential business information of Northern Peak's pharmacy partners. Your acceptance of the confidentiality agreement presented at the time of unlock is binding. You agree not to share, forward, republish, or redistribute those materials to any person or entity outside your practice, and not to disclose pricing to patients or the general public. Breach of the confidentiality agreement is grounds for immediate termination of access and may expose you to liability.

6. Licensure and fulfillment

Coverage information reflects our current pharmacy partner's state licensure status as of the "Last verified" date shown on each coverage page. Licensure can change. Final licensure is verified at the time of dispense by the pharmacy, not by Northern Peak. Northern Peak makes no representation that any specific preparation will be available for any specific patient at any specific time.

7. Provider responsibility

You are solely responsible for:

  • Your own licensure, scope of practice, and clinical judgment.
  • Compliance with federal, state, and local laws governing prescribing, dispensing, record-keeping, patient care, and controlled substances.
  • Verifying that any compounded preparation you prescribe is appropriate and legal for your patient and your practice.
  • Any communication you have with patients regarding compounded preparations.

Northern Peak does not supervise, direct, or control your clinical decisions and is not responsible for outcomes arising from them.

8. Third-party services

The Service integrates with third-party services including the public NPPES registry, our pharmacy partner's LifeFile onboarding platform, and our hosting, database, and email providers. Your use of those third-party services is governed by their own terms. Northern Peak is not responsible for the content, accuracy, or practices of any third-party service.

9. Intellectual property

The Service, including all text, design, logos, and software (excluding materials owned by our pharmacy partners and third-party providers), is the property of Northern Peak and is protected by intellectual-property laws. You may view and interact with the Service for its intended purpose. You may not copy, reproduce, distribute, or create derivative works of the Service without our prior written consent.

Northern Peak content, including The Peak Brief newsletter and any archived issues, is copyrighted by Northern Peak. You may quote brief excerpts with attribution for noncommercial educational purposes. Republication, systematic reposting, or redistribution without written consent is prohibited.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHERN PEAK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OF DATA, AND UNINTERRUPTED OR ERROR-FREE OPERATION. NORTHERN PEAK MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY PHARMACY PARTNER WILL BE ABLE TO FULFILL ANY PARTICULAR ORDER.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHERN PEAK AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NORTHERN PEAK'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD 100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

The limitations in this Section do not apply to: (a) claims for personal injury or death to the extent prohibited by applicable law; (b) liability that cannot be limited or excluded under applicable law; or (c) damages arising from Northern Peak's gross negligence, willful misconduct, or fraud.

12. Indemnification

You agree to defend, indemnify, and hold harmless Northern Peak, its officers, members, employees, and agents from any claim, demand, loss, or expense (including reasonable attorney fees) arising out of: (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any law or the rights of any third party, (d) any clinical decision you make or any communication you have with a patient relating to compounded preparations, or (e) your misrepresentation of any information submitted through the Service, including but not limited to a false or unauthorized NPI.

Nothing in this Section requires you to indemnify Northern Peak for any loss caused by Northern Peak's own gross negligence, willful misconduct, or fraud.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Sections that by their nature should survive termination (including Sections 5, 7, 9 through 12, and 14 through 18) will survive.

14. Governing law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles. The exclusive venue for any dispute arising under or relating to these Terms or the Service is the state or federal courts located in Salt Lake County, Utah, and each party consents to the personal jurisdiction of those courts.

15. Dispute resolution

Before filing any formal claim, you agree to contact us in writing at the address in Section 19 and attempt to resolve the dispute informally for at least thirty days. If the dispute is not resolved in that period, either party may proceed to court subject to Section 14.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the Effective date above. For material changes, we will make reasonable efforts to notify you. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

17. Miscellaneous

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. Northern Peak may assign or transfer these Terms and its rights and obligations, in whole or in part, without your consent in connection with a merger, acquisition, sale of assets, corporate reorganization, or similar corporate event. You may not assign your rights under these Terms without our prior written consent. Any attempted assignment in violation of this provision is void.

Notices. We may provide notices to you by email (to the address you have most recently provided us), by posting to the Service, or by any other reasonable means. You must provide notices to us in writing by email to rosendo@obprx.com.

Entire agreement. These Terms, together with the Privacy Policy and any additional agreements you accept in the Service (including the confidentiality agreement on the formulary unlock flow), constitute the entire agreement between you and Northern Peak regarding the Service and supersede any prior agreements on the same subject.

Headings. Section headings are for convenience only and do not affect interpretation.

18. Force majeure

Northern Peak is not liable for any failure or delay in performing our obligations under these Terms to the extent caused by events beyond our reasonable control, including acts of God, natural disasters, fires, floods, earthquakes, epidemics or pandemics, wars, terrorism, civil unrest, strikes, labor actions, internet or telecommunications outages, failures of third-party infrastructure providers (including our hosting, database, email, and scheduling providers), governmental orders, or public health emergencies. During any such event, our obligations are suspended to the extent affected, and we will use reasonable efforts to resume performance as soon as practicable.

They have not yet undergone formal legal review and may be revised before or after the Service launches publicly.
